1. Acceptance of Terms

By accessing or using services provided by Enlaiven Accounting (“Enlaiven,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be legally bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not access or use our services.

2. Services Provided

Enlaiven Accounting is a Michigan-based remote accounting and outsourcing firm. We provide a variety of virtual, cloud-based services across the United States, including but not limited to:

• Bookkeeping
  
• Controller services
  
• Tax preparation and filing
  
• Sales tax compliance
  
• Back-office support for accounting firms
  
• Business incorporation and structuring
  
• Financial analysis and reporting
  

All services are delivered remotely. Enlaiven does not operate physical offices in each state.

3. Client Obligations

Clients agree to:

• Provide timely, accurate, and complete financial documents and business records
  
• Respond promptly to our communications and requests
  
• Comply with all relevant local, state, and federal regulations applicable to their business operations
  
• Maintain secure access to cloud platforms used in service delivery
  

Enlaiven shall not be liable for delays or errors caused by incomplete or inaccurate information provided by the client.

4. Fees and Payment Terms

Fees for services are established in individual engagement letters or service agreements. Unless otherwise agreed, all invoices are due upon receipt. Failure to pay may result in suspension or termination of services. Interest may be charged on overdue balances at the maximum rate allowed by law.

5. Confidentiality

We treat all client information as strictly confidential. Enlaiven will not disclose your data to third parties except:

• With your written consent
  
• As required by law
  
• To fulfill contractual obligations (e.g., use of secure third-party software or cloud services)
  

All information is stored and transferred using commercially reasonable data protection practices.

6. Intellectual Property

Unless otherwise agreed in writing, any documents, templates, tools, software configurations, or deliverables provided by Enlaiven remain our intellectual property. Clients receive a non-exclusive, non-transferable license to use such materials solely for their internal business purposes.

7. Disclaimer and Limitation of Liability

While Enlaiven strives to deliver accurate and timely services, we make no warranties regarding the completeness or accuracy of information provided. To the extent permitted by law:

• We disclaim all warranties, express or implied
  
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
  
• Our total liability for any claim will not exceed the total fees paid for the services giving rise to the claim
  

8. Termination

Either party may terminate the service relationship with written notice, per the terms of the service agreement. Upon termination:

• Any outstanding fees become immediately due
  
• Enlaiven will return all client-provided documents within a reasonable period
  
• Access to shared platforms or tools may be revoked
  

9. Governing Law

As we serve clients remotely across the United States, these Terms — and any disputes arising from them, shall be governed by the laws of the state in which the client’s primary business operates, unless otherwise specified in a signed engagement agreement.

Any legal proceedings shall be initiated in a state or federal court with appropriate jurisdiction in the client’s state, and both parties agree to submit to the personal jurisdiction of such courts.

10. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Any changes will be posted on our website with a revised effective date. Continued use of our services after such changes constitutes your acceptance of the updated Terms.
